These Terms of Service ("Terms") govern your access to and use of StreamBuddy, including the StreamBuddy desktop client, web interfaces, websites, and related services (collectively, the "Service"). The Service is operated by Danidoes LLC ("Danidoes", "we", "us", or "our").

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is provided by Danidoes LLC. We are a small independent developer-operated software business.

2. Eligibility

You must be able to form a binding contract in your jurisdiction to use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

StreamBuddy is an AI character viewer and companion-style application. The desktop client may record user input (such as microphone input and keystrokes) and send audio and/or transcriptions to our servers. Our servers may process the information and may call third-party APIs (for example, LLM services and text-to-speech services) to generate a response. The Service may store information (including transcripts and summaries) to support features like memory/recall.

We may update, change, suspend, or discontinue any part of the Service at any time.

4. Accounts

You may need an account to use some features. You are responsible for: - maintaining the confidentiality of your credentials; and - all activity under your account.

5. Acceptable use

You agree not to: - use the Service in a way that violates any law or regulation; - infringe or violate other people’s rights (including copyright, privacy, or publicity rights); - attempt to access or interfere with our systems or security; - scrape, reverse engineer, or misuse the Service except to the extent permitted by law; - use the Service to generate or distribute illegal content.

We may suspend or terminate access if we believe you are violating these Terms or creating risk for others or for us.

6. Your content and your responsibilities

You are responsible for the content you provide to the Service, including any audio, text, prompts, files, models, avatars, or other materials ("User Content").

You represent and warrant that: - you own or have the necessary rights and permissions to provide and use your User Content with the Service; and - your User Content and your use of the Service will not violate any law or third-party rights.

If you load any models or assets into the Service, you must have the rights to use them. We do not grant you rights to any third-party assets.

6.1 Audio capture and recording consent

Certain features of the Service capture audio through your device's microphone and may transmit that audio, and transcriptions of it, to our servers for processing. By enabling these features, you consent to such capture, transmission, and processing.

You are solely responsible for ensuring that you have all necessary rights and consents to record and process any voice or audio that includes other people. Recording laws vary by jurisdiction, and some require the consent of all parties to a conversation. You must obtain any consent required by applicable law before capturing the voice of any third party through the Service, and you must not use the Service to record any person without the rights or consent that the law requires.

7. AI / generated outputs

The Service may generate outputs (text, audio, or other responses) using third-party AI and text-to-speech providers.

You understand that: - outputs may be inaccurate, incomplete, or inappropriate; - you are responsible for how you use outputs; and - you should not rely on outputs as professional advice (including legal, medical, or financial advice).

8. Third-party services

The Service may integrate with or rely on third-party services (for example, OpenAI, ElevenLabs, Microsoft Azure, Amazon Web Services, or other providers). Your use of those services may be subject to their own terms and policies.

We are not responsible for third-party services, and we do not control how third parties process data once it is sent to them.

9. Data, privacy, and retention

We store certain information to operate the Service, provide features, improve performance, prevent abuse, and support memory/recall features. This may include: - audio transcriptions; - bot interactions and conversation logs; - summaries or embeddings derived from your interactions; - account and usage information.

If you provide external API keys (for example, provider keys for AI or text-to-speech services), we may store them in encrypted form so enabled features can function.

9.1 Deletion requests

You may request deletion of your data stored on our systems at any time by contacting us at: support@danidoes.dev

When we receive a verified request, we will delete (or de-identify) the requested data from our systems within a reasonable time, unless we need to retain certain information for legal, security, fraud-prevention, billing, dispute resolution, or legitimate business purposes.

9.2 Limits of deletion (third parties)

If your data was transmitted to third-party services (for example, OpenAI, ElevenLabs, Microsoft Azure, AWS, or other vendors) as part of providing the Service, we can delete it from our systems, but we cannot guarantee deletion from third-party systems. Third parties may retain data according to their own policies and legal obligations.

9.3 Privacy policy

Our Privacy Policy describes in more detail how we collect, use, and share information. The Privacy Policy is incorporated into these Terms by reference and applies in addition to these Terms.

9.4 U.S. state privacy rights

Depending on your state of residence, you may have additional rights under applicable state privacy laws (including statutes such as CCPA/CPRA, VCDPA, CPA, CTDPA, UCPA, TDPSA, OCPA, MCDPA, DPDPA, ICDPA, INCDPA, TIPA, NJDPA, NH S.B. 255, NDPA, Minnesota's privacy law, and MODPA).

You may submit privacy rights requests at support@danidoes.dev. We will process verified requests and appeals in accordance with applicable law and our Privacy Policy.

10. Payments (if applicable)

If the Service includes paid features, fees will be shown to you before you pay. Unless otherwise stated, fees are non-refundable to the extent permitted by law.

10.1 Usage display is an estimate

Any usage, spend, or cost information shown in dashboards, reports, notifications, or in-product UI is provided as an estimate for convenience only and may be delayed, incomplete, or subject to correction.

10.1A External API key security responsibility

You are responsible for securing and managing your external API keys with the third-party provider. While we may display usage insights in the Service, you must revoke or rotate keys directly with the provider if you suspect leakage, unauthorized access, or compromise.

10.2 Final invoice and authoritative records

Final charges are based on our authoritative billing records and third-party provider usage records (as applicable), not on estimated usage displays. We may issue invoices that differ from estimated usage amounts when needed to reflect actual API and service usage.

10.3 Corrections and adjustments

We may correct billing errors, omissions, duplicate entries, provider-side adjustments, tax calculations, credits, or other discrepancies, including after an invoice is issued. Any such correction will be reflected on a revised or subsequent invoice/statement.

10.4 Pricing changes

We may change fees or pricing structure at any time, but changes will apply prospectively unless required to correct billing errors or pass-through provider charges already incurred.

10.5 Invoice disputes

To dispute an invoice, contact support@danidoes.dev with reasonable detail within 30 days of the invoice date. If you do not dispute within that period, the invoice will be deemed accepted to the extent permitted by law.

11. Intellectual property

We (and our licensors) own the Service, including software, design, and other components, except for User Content.

You may not copy, modify, distribute, sell, or lease any part of the Service unless we allow it in writing.

11.1 Open-source software

The Service incorporates open-source software provided by third parties, which remains subject to its own license terms. A summary of these components, together with the applicable notices and source-code availability, is set out in our Open-Source Notices. To the extent any open-source license conflicts with these Terms with respect to that component, the open-source license governs that component.

11.2 Copyright complaints (DMCA)

We respect the intellectual property rights of others and expect users to do the same. If you believe that content available through the Service infringes your copyright, you may send a notice to our designated agent at support@danidoes.dev with the following information:

  • a description of the copyrighted work you claim has been infringed;
  • a description of the material you claim is infringing and its location within the Service;
  • your name, address, telephone number, and email address;
  • a statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law;
  • a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf; and
  • your physical or electronic signature.

We may remove or disable access to material claimed to be infringing and may terminate the accounts of users who are repeat infringers.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

The Service relies on third-party artificial intelligence and text-to-speech providers to generate outputs. We are not the provider of those underlying AI models, and we do not warrant the accuracy, reliability, or suitability of any output they generate.

We do not guarantee that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DANIDOES LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $100 IF YOU HAVE NOT PAID US ANY AMOUNTS, WHICHEVER IS GREATER.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnity

You agree to defend and indemnify Danidoes LLC from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: - your use of the Service; - your User Content; or - your violation of these Terms or violation of any rights of another.

15. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time if we believe you violated these Terms, or if continuing to provide the Service creates risk for us or others.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will make reasonable efforts to notify you (for example by posting a notice in the Service or on our website). Your continued use of the Service after the effective date means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law rules. Any disputes will be brought in the state or federal courts located in Washington, unless applicable law requires otherwise.

If you are a consumer residing in the United Kingdom or another jurisdiction whose law grants you mandatory protections that cannot be waived by agreement, nothing in these Terms removes the benefit of those protections, and you may also be entitled to bring proceedings in the courts of your place of residence.
